Overview: We are currently seeking a Legal Counsel, Regulatory Affairs to join the Legal and Regulatory Affairs team to report into the General Counsel and SVP, Regulatory Affairs and Planning. Role allows flexibility to work remotely.*

What can you expect to do: * Product Development*

• Provide guidance to Regulatory Affairs on complex packaging and labeling executions

• Participate in product risk assessments to provide advice on ingredients, hardware, product liability and risk mitigation strategies prior to launch

• Participate in regulatory review of all proposed product innovations and advise on regulatory/legal concerns

• Promotions*

• Review all B2B and B2C promotional materials and executions to ensure compliance with provincial and federal laws

• Provide legal advice and documentation for contesting

• Review and approve all product claims/descriptions prior to use

• Monitor privacy requirements and ensure compliance of online activations, socials and websites

• Ensure record keeping of all promotions to meet Health Canada requirements

• Trade & Distribution*

• Work with the sales team on strategic B2B matters at both the wholesale and retail level to ensure compliance with applicable laws

• Negotiate and draft agreements for same

• Intellectual Property*

• Assist legal on advising on all intellectual property filings all products, brands and protectable intellectual property (e.g. trademarks, designs, formulations, patents etc.)

• Track, review and maintain Auxly's intellectual property portfolio

• Draft and monitor licensing agreements with strategic partners

• Monitor third party activity and advise on infringing IP and assist on and necessary enforcement matters

• Corporate/Commercial Legal*

• Review, draft and monitor various legal agreements with a range of counterparties (customers, suppliers, strategic partners etc.)

• Review and advise on legal disputes over any such agreements

• International Opportunities*

• Assist Regulatory Affairs and Corporate Development on assessing international opportunities including assessing legal and regulatory risks of any international expansion opportunities

• Review, draft and monitor various legal agreements with a range of counterparties for the same opportunities

What we are looking for :

• A J.D. and/ or LL.B. degree from an accredited Canadian Law School.

• Minimum 3+ years' post-call experience with a leading law firm or organization.

• Related regulatory experience with cannabis, natural health products, drugs, medical devices or experience with Health Canada is preferred.

• Excellent analytical and communication skills, both written and verbal; demonstrated consistent and prompt use of sound legal and business judgment.

• Pragmatic approach, including the ability to simplify legal constructs and concepts for business colleagues and non-legal audiences.

• Strong attention to detail and excellent organization skills.

• Project management skills with the ability to prioritize, multi-task, learn quickly and work independently.

• Knowledge of the Cannabis Act, Controlled Drugs and Substances Act, , Narcotic Control Regulations and Food and Drugs Act is not required but would be considered an asset.
