About the Role

The person in this role will be a key advisor to Dutchie’s finance, product, and engineering teams, as well as fellow legal counsel, on new product development in the cannabis and FinTech fields. FinTech Counsel will support ongoing business lines focused on payments, as well as provide advice and legal guidance for new work streams and potential new products.

What You’ll Do

• Lead review of new products, product features, and other product-related matters to ensure compliance with financial services, banking, and related regulations

• Draft and review commercial agreements with financial services and other partners, and lead development of terms and conditions for new products

• Conduct legal research into high priority areas, identifying and evaluating business and legal risks, and finding creative ways to mitigate them while achieving business goals

• Advise product and sales teams on growth opportunities, existing products, and new product launches

• Draft and advise on policies, procedures, processes, systems, governance, and internal controls related to payments and financial service products

• Actively collaborate with a wide variety of teams at Dutchie, including product, engineering, compliance, finance, and marketing, on a range of issues related to market expansion, compliance, and product development

• Stay up-to-date on U.S. financial and cannabis-related regulations to provide proactive guidance on trends, risks, and opportunities

What You Bring

• Juris Doctorate from an ABA accredited law school and license to practice law in OR, CA, NY or comparable State Bar

• Minimum of 5 years of regulatory experience in private practice or with a highly regarded firm or organization

• Substantial experience advising clients on regulatory matters—specific cannabis, payments or financial experience is particularly advantageous

• Experience working with or for regulatory agencies

• Exceptional legal research, writing, negotiation, and advocacy skills

• Excellent written and oral communication skills

The GC is responsible for overall management of the legal function and advising on compliance with state laws and regulations, drafting and reviewing contracts, overseeing litigation, supporting with employment related legal issues, and general oversight of IP issues. In addition, the GC will assist in building out a legal department consistent with the growth of the company and coordinating with other departments that overlap with legal, especially Compliance and Human Resources.</p><p>Duties And Responsibilities</p><p>• Providing overall leadership and direction for all legal matters and supporting Ayr’ functions and business through the delivery of legal support and guidance.</p><p>• Supervision of all outside law firms. Responsible for retaining and overseeing outside counsel for major transactions, financings, and intellectual property matters.</p><p>• Responsible for advising, drafting and review of contracts.</p><p>• Advises on Compliance with Federal, State, and local laws and regulations, especially regarding cannabis, ethics, public company trading and reporting. Provides general legal advice and guidance to Operations</p><p>• Assist Human Resource and Compliance in carrying out their functions. Participating in the resolution of labor and employment issues and issues of environmental/health/safety and other regulatory matters as they arise.</p><p>• Oversee litigation and potential litigation with an emphasis on avoiding lawsuits and managing risk</p><p>• Work with Corporate Officers and Communications Group to ensure protection of Ayr’s IP and compliance with IP law and obligations</p><p><b>Education</b></p><p>• Juris Doctorate with admission to practice in US or Canada</p><p><b>Experience</b></p><p>• The successful candidate will have at least 8 years of progressive legal in-house experience managing a legal division or department in a complex, dynamic and fast paced consumer industry.</p><p>• Experience in retail or consumer business is preferable.
